These Terms and Conditions of Business (the “Terms”) govern all services provided by IT WORKHOUSE Ltd (“ITW”, “we”, “us”, “our”) to the customer (“Customer”, “you”, “your”). By engaging our services, you agree to be bound by these Terms. 

1. Services 

1.1 ITW is a managed IT services provider offering IT support, cyber security services, business software implementation, consultancy, and related technology services. 

1.2 The specific services to be provided will be detailed in a separate quotation, proposal, statement of work, or IT Support Pack agreement. 

1.3 ITW is a Cyber Essentials certified organisation and an official Odoo implementation partner. 

2. Business Hours 

2.1 Our standard hours of business are 08:30 to 17:00, Monday to Friday, excluding UK public holidays. 

2.2 Work requested outside of these hours may be subject to additional charges as agreed in advance. 

3. Charges and Payment 

3.1 Our standard hourly rate is £90 plus VAT. Customers on an IT Support Pack agreement benefit from a reduced rate of £75 plus VAT per hour. 

3.2 All prices quoted exclude VAT unless otherwise specified. Prices are reviewed periodically and we will provide reasonable notice of any changes. 

3.3 Where travel to the Customer’s premises is required, travel time will be charged at our standard rate. 

3.4 For project work not covered by an IT Support Pack, we require a 50% deposit of the estimated cost before work commences. This includes but is not limited to: onsite installations, equipment relocation, staff onboarding, and equipment purchasing. 

3.5 All invoices are due for payment within 14 days of the date of issue. Payment may be made by bank transfer, debit card, or Direct Debit. 

3.6 Interest will be charged on overdue amounts at 5% above the Bank of England base rate, calculated from the due date until payment is received in full. 

4. Authorisation of Work 

4.1 Before commencing any work not covered by an IT Support Pack, we require written authorisation from your nominated point of contact or a company director. 

4.2 We cannot accept verbal authorisation for project work. All authorisations must be provided in writing (including email). 

4.3 An estimate deposit payment will be taken as full authorisation. 

5. Customer Responsibilities 

5.1 The Customer is responsible for maintaining appropriate backups of their data. ITW is not responsible for any data loss experienced by the Customer. 

5.2 The Customer agrees to provide ITW with reasonable access to systems, premises, and information necessary to perform the agreed services. 

5.3 The Customer is responsible for ensuring all software used is properly licensed. 

6. Recommendations and Advice 

6.1 From time to time, ITW may make recommendations regarding technology, cyber security, hardware, software, or processes. The Customer may decline these recommendations. 

6.2 However, if the Customer experiences persistent issues as a result of declining our recommendations, ITW reserves the right to terminate the support agreement with 31 days’ written notice. 

6.3 By declining ITW’s recommendations, the Customer accepts they are operating at their own risk in relation to the matters covered by those recommendations. 

7. Right to Refuse Service 

7.1 ITW reserves the right to refuse support for any hardware, software, or systems that we deem to be unfit for purpose, obsolete, or unsupportable, even if previously included in an IT Support Pack. 

8. Limitation of Liability 

8.1 ITW’s total liability to the Customer under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by the Customer to ITW in the 12 months immediately preceding the event giving rise to the claim. 

8.2 ITW shall not be liable for any indirect, special, or consequential loss or damage, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, or business interruption. 

8.3 ITW is not responsible for any interruption of service affecting the Customer caused by factors outside our reasonable control, including but not limited to internet connectivity issues, third party service failures, or force majeure events. 

8.4 Nothing in these Terms shall limit or exclude ITW’s liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by applicable law. 

9. Insurance 

9.1 ITW maintains cyber liability insurance with a limit of indemnity of £25,000 in the aggregate. Details of our current insurance coverage are available on request. 

10. Data Protection 

10.1 ITW will process any personal data provided by the Customer in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. 

10.2 Our Privacy Policy, available at www.itworkhouse.co.uk/privacy, sets out how we collect, use, and protect personal data. 

10.3 The Customer’s contact and business details will be stored in our systems for administration, service delivery, and accounting purposes. 

10.4 Upon termination of our business relationship, we will retain Customer data for a period of 31 days, after which it will be securely deleted unless longer retention is required by law. 

11. Intellectual Property 

11.1 All intellectual property rights in any materials, documentation, or deliverables created by ITW specifically for the Customer shall transfer to the Customer upon full payment, unless otherwise agreed in writing. 

11.2 ITW retains all intellectual property rights in its pre-existing materials, methodologies, tools, and general know-how. 

12. Termination 

12.1 Either party may terminate an ongoing IT Support Pack agreement by providing 31 days’ written notice to the other party. 

12.2 ITW may terminate the agreement immediately upon written notice if the Customer fails to pay any amount due within 30 days of the due date, or materially breaches these Terms. 

12.3 Upon termination, all outstanding invoices become immediately due and payable. 

13. Third Party Services 

13.1 Where ITW procures third party services, software, or licences on behalf of the Customer, such products are subject to the third party’s own terms and conditions. 

13.2 ITW shall not be liable for any failure, defect, or issue arising from third party products or services. 

14. No Personal Liability 

14.1 There is no contract between the Customer and any owner, employee, or consultant of ITW personally. Any advice given or work performed is provided on behalf of IT WORKHOUSE Ltd, and no individual assumes personal responsibility to the Customer. 

15. General 

15.1 These Terms, together with any quotation, proposal, or IT Support Pack agreement, constitute the entire agreement between the parties. 

15.2 ITW may update these Terms from time to time. The current version will always be available on our website. 

15.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

15.4 This agreement and any dispute arising from it shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English and Welsh courts.
